The terms and conditions set forth below (the “Terms and Conditions”) are specifically incorporated in the order document by and between Altas Biosciences (“Seller”) and the customer listed on the Order ("Buyer") for the products (the “Products”) and services (the “Services”).

Acceptance of orders, whether oral or written, is based on the express condition that Buyer agrees to all of the terms and conditions set forth herein. These terms and conditions, together with the terms and conditions set forth in the Quotation, Order Confirmation, Order Acknowledgement, Delivery Note and Invoice (whether in hard copy or in electronic format), represent the complete agreement of the parties, and no terms or conditions in any way adding to, modifying or otherwise changing the provisions stated herein, including by custom, usage of trade or course of dealing or performance, shall be binding upon Seller unless made in writing and signed and approved by Seller. Please do not use the Services or Products of Altas Biosciences if you do not accept all of the Terms. You acknowledge and agree that Altas Biosciences may amend any Terms at any time by posting the relevant amended and restated Terms on www.altasbiosciences.com. By continuing to use the Services or Products of Altas Biosciences, you agree that the amended Terms will apply to you.

1. Hazards and Toxicity. All Altas Biosciences' products are manufactured under non-GMP conditions and are for research use only, not for any human or veterinary use. They should be used only by qualified professionals who are trained in good laboratory procedures and are familiar with their potential hazards. The Products contain chemicals that may be harmful if misused. Due care should be exercised with all Products to prevent direct human contact.

2. Price. Buyer shall pay the prices specified in the Purchase Order. All prices are subject to change without notice. Buyer shall be responsible for all delivery and handling charges, taxes and other amounts payable to governmental authorities in connection with applicable transactions. These charges will be added to Seller’s invoice.

3. Payment. Payment terms are net 30 days from date of invoice unless otherwise specified. Interest will accrue on such overdue amount at the lesser of (a) fifteen percent (15%) per annum, or (b) the maximum rate permitted by law.

4. Return. Buyer may request to return Products that are damaged or defective upon delivery, but Buyer must contact Altas Biosciences within 5 business days from the day Buyer received the Products to request a return authorization (“Return Authorization”). Altas Biosciences will not accept any returns, and no credit will be issued, without a Return Authorization. Products must be returned within 5 business days of receiving a Return Authorization and must be in their original containers with the original labels. If an error by Buyer results in the shipment of incorrect Products, Altas Biosciences may, at its option, refuse to issue a Return Authorization. Custom Orders are ineligible for cancellation or return.

5. Cancellation. Prior to Altas Biosciences' notification to the Buyer of acknowledgment of an order, the Buyer may cancel the outstanding order by providing Altas Biosciences with written notice of cancellation. Once Altas Biosciences has acknowledged a purchase order, such purchase order shall become non-cancellable without Altas Biosciences' prior written consent. If Buyer insists on cancelling this order for its convenience, Buyer shall be responsible for a termination and restocking charge, computed on the basis of the price of the Products (or Services) ordered in an amount equal to 50% of the price.

6. Limited Warranty. Altas Biosciences warrants that each Product will meet the Specification set out on the Product Datasheet in respect of the Product when used appropriately under normal conditions and will replace all Products not conforming to the Specifications, provided that Altas Biosciences shall not be liable under this warranty if the defect arises because the Buyer has altered the Product in any way or failed to follow Altas Biosciences'  instructions accompanying delivery of the Product. The warranty will last from the time delivery is made until the Product’s expiration.

7. Force Majeure. Altas Biosciences shall not be liable for any failure to perform this Agreement when such failure is due to circumstances beyond its control. Circumstances beyond the control of Altas Biosciences include, but are not limited to, strikes, fires, pandemics, acts of God, governmental action, accidents, labor trouble, and inability to obtain materials, equipment or transportation.

8. Changes. Any changes to the scope of the Order shall be set forth in a written amendment executed by an authorized representative of the Buyer and Altas Biosciences.
